Terms of service
These terms describe how the Artery platform is provided. During private beta they are supplemented by the individual beta agreement signed with each participating firm, which prevails where the two differ.
1. What Artery is
Artery is software. It coordinates the launch and ongoing governance of investment funds across the operator and its service providers, and records what was decided, by whom, and when.
2. What Artery is not
- Artery is not a regulated entity and holds no licence.
- Artery provides no fund, legal, tax, accounting, depositary or advisory services.
- Nothing on the platform is approved, certified or validated by any regulator, and using the platform does not make a firm or a fund compliant.
- Regulatory responsibility, and responsibility for the accuracy of what is recorded, remains with the licensed firms using the software.
3. Accounts and access
Access is granted to named users acting for a named organisation. Customers are responsible for keeping credentials secure, for the accuracy of the roles they assign, and for removing users who leave. Access between organisations exists only where an engagement has been proposed and accepted.
4. Acceptable use
- Do not attempt to reach data belonging to another organisation.
- Do not probe, scan or stress the service outside an agreed test window.
- Do not upload malicious content, or content you have no right to share.
- Do not resell or white-label the service without written agreement.
5. Your data
Customer data remains the customer’s. We process it to run the service and to support you, on the terms of the data-processing agreement. The audit trail and fund records are exportable throughout the engagement and before deletion on exit.
6. Availability during private beta
Artery is in private beta. The service is provided without an availability commitment unless one is stated in the beta agreement. We may change features, and we give notice of changes that materially affect how a launch or governance workflow behaves.
7. Fees
Beta terms and pricing are agreed individually with each participating firm, based on the number of funds and providers on the system, and set out in writing before commitment.
8. Intellectual property
Artery retains all rights in the platform, its interface and its workflow models. Customers receive a non-exclusive, non-transferable right to use the service for the duration of the engagement.
9. Liability
To the extent permitted by law, Artery is not liable for indirect or consequential loss, or for loss of profit, business or anticipated savings. Nothing here excludes liability that cannot be excluded by law. Any cap on liability is set out in the signed agreement.
10. Termination
Either party may end the engagement on the notice stated in the signed agreement. On exit we provide an export of your fund records before deletion, on the retention terms of that agreement.
11. Governing law
These terms are governed by the laws of the Grand Duchy of Luxembourg, and the courts of Luxembourg City have exclusive jurisdiction.
